Our project finance members have supported project financing agreements for building and infrastructure projects for over 30 years. In recent years, these projects have taken the form of public-private partnerships, privatizations, and enhanced use leasing. The Group has extensive contacts and connections with investment banking firms in the United States and abroad, and has managed and completed the most complex financing arrangements.

The firm’s attorneys counsel domestic and foreign financial institutions, commercial enterprises, capital companies, and investment funds in all aspects of their public and private financing, investment, and capital formation activities. We represent these entities in their capacities as both capital providers and issuers.

Representative Matters:
• Represented Puerto Rico ’s main Public Housing Agency (PHA) in a $663 million tax-exempt bond financing built upon an innovative program whereby PHAs obtain debt financing secured by their future Capital Grant receipts, which are paid by the Department of Housing and Urban Development (HUD) and subject to Congressional appropriations. In order to comply with HUD’s desire for more local responsibility with respect to these financings, the client worked with the Puerto Rican Government Development Bank (GDB) and the Puerto Rico Housing Finance Authority (HFA) to add this element to the Capital Grant financing program. GDB provided a $100 million-plus line of credit to be used for the agency’s modernization if a particular modernization project goes over budget or over schedule. The HFA issued the bonds and then lent the proceeds to the agency. Through this financing, our client is able to provide decent, safe, and sanitary housing for thousands of Puerto Rican families.
• Provided legal advice and services to the Department of Veterans Affairs, the National Aeronautics and Space Administration, the Department of Energy, and other agencies regarding the development and financing of new facilities through public-private and enhanced use leasing structures on the grounds of three medical centers. These facilities included co-generation plants, office buildings, parking garages, and mixed-use space. Current initiatives involve medical research buildings and mixed-use development.
• Acted as general counsel providing legal advice on the redevelopment effort of the
